Artificial Intelligence / Synthetic Voice Rider

This Artificial Intelligence / Synthetic Voice Rider (“Rider”) applies to all voice recordings, performances, audio files and other vocal material provided by Katie Goodman (“Talent”).

This Rider supplements the Katie Goodman Voice Terms & Conditions and applies to all recordings supplied by the Talent unless expressly stated otherwise in writing.

The Talent does not consent to, license or authorise the use of her voice, recordings, performances or vocal characteristics for artificial intelligence, machine learning, synthetic voice, voice cloning, digital replicas or any technology designed to reproduce or generate her voice. No such rights are granted.

1. Permitted Use

Recordings supplied by the Talent may only be used for the specific project, purpose, media, territory and usage period agreed at the time of booking.

Possession of a recording does not confer any rights beyond the usage specifically agreed.

2. No AI or Machine-Learning Use

The Client must not use, permit the use of, upload or provide any recording, performance, audio file or other vocal material supplied by the Talent for:

  • artificial intelligence training;

  • machine-learning training, development, testing or improvement;

  • generative AI;

  • dataset creation or inclusion in datasets;

  • text-to-speech systems;

  • speech-to-speech systems;

  • voice synthesis;

  • synthetic speech generation;

  • voice models or foundation models; or

  • any technology intended to learn, reproduce, imitate, simulate or generate the Talent's voice or vocal characteristics.

This prohibition applies whether the recording is used individually or as part of a larger collection or dataset.

3. No Voice Cloning or Digital Replicas

The Client must not use the Talent's voice, recordings, performances or vocal characteristics to create, develop, train or facilitate:

  • a voice clone;

  • synthetic or simulated voice;

  • digital replica;

  • digital double;

  • artificial voice model; or

  • any other reproduction or simulation of the Talent's voice or vocal characteristics.

This includes technologies intended to create speech or performances that the Talent did not personally record.

4. No Generation of New Speech

The Talent's recordings must not be processed, manipulated or combined with artificial intelligence or synthetic-voice technology to generate new words, phrases, sentences or performances that were not actually spoken and recorded by the Talent.

Recordings must not be manipulated in a way that falsely represents the Talent as having said, endorsed or performed something she did not record.

5. Ordinary Audio Editing

Nothing in this Rider is intended to prevent normal professional post-production required to complete the agreed project.

Conventional processes such as editing, cutting, mixing, mastering, EQ, compression, de-essing, noise reduction and similar audio processing are permitted, provided they do not create a synthetic representation of the Talent's voice or generate new speech that the Talent did not record.

6. No Third-Party AI Use

The Client must not sell, license, transfer, provide or otherwise make the Talent's recordings available to any third party for artificial intelligence, machine learning, synthetic voice, voice cloning, digital-replica creation, dataset creation or any other use prohibited by this Rider.

Where recordings are legitimately supplied to an agency, production company, editor or other service provider solely for completion of the agreed project, the Client must ensure that those parties respect the restrictions contained in this Rider.

7. Third-Party Platforms & Agreements

The Client may not enter into any agreement, consent, licence or authorisation on behalf of the Talent concerning artificial intelligence, synthetic voice, voice cloning, machine learning or digital replicas.

The Client must not upload the Talent's recordings to a platform or service where doing so would grant that platform rights to use those recordings for AI training, machine learning, voice modelling, synthetic voice generation or other purposes prohibited by this Rider.

Acceptance of a third party's terms and conditions by the Client does not grant that third party any AI, synthetic-voice or voice-cloning rights in the Talent's voice.

8. Storage & Security

The Client must take reasonable measures to protect recordings supplied by the Talent from unauthorised access, copying, extraction, distribution or use.

Recordings must not knowingly be stored in or uploaded to AI systems, voice-generation platforms, model-training services or datasets where they could be used for any purpose prohibited by this Rider.

9. No AI Licence or Consent

The Talent does not offer or grant licences for the use of her voice, recordings, performances or vocal characteristics for artificial intelligence, machine learning, synthetic voice, voice cloning, digital replicas, text-to-speech, speech-to-speech, dataset creation or model training.

No AI or synthetic-voice rights are granted as part of any voiceover booking.

Payment for a recording, possession of an audio file or permission to use a recording for an agreed project does not constitute consent to AI or synthetic-voice use.

No such rights may be assumed or granted by implication.

10. No Transfer of Rights

No AI, machine-learning, synthetic-voice, voice-cloning or digital-replica rights may be sublicensed, assigned or transferred by the Client.

Any sale, merger, acquisition, transfer of assets or other change involving the Client does not create or transfer rights prohibited by this Rider.

11. Continuing Application

The restrictions contained in this Rider continue to apply after:

  • completion of the project;

  • expiry of the agreed usage period;

  • termination of the Client's relationship with the Talent; or

  • deletion or withdrawal of the recording from its originally authorised use.

Expiry of an agreed voiceover licence does not cause the restrictions contained in this Rider to expire.
